Welcome to MindActions (together with its mobile applications, websites, and associated software, the "Service" or the "Platform").
These Terms of Use (the "Terms") constitute a legally binding contract between you (the "User" or "you") and MindActions (referred to as "MindActions," "we," "us," or "our") regarding your access to and use of our Service, including our websites located at https://mindactions.app, https://app.mindactions.app, and our native Android mobile application.
Please read these Terms carefully. By clicking "I Accept," registering an account, subscribing to our payment tiers, or otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access, download, or use our Service.
1. Description of the Service
MindActions is an advanced cognitive-behavioral wellness and self-reflection platform designed to integrate routines, emotional tracking, and therapeutic writing into a unified ecosystem. The Platform utilizes advanced machine learning and artificial intelligence models (specifically the Google Gemini AI suite) to assist with:
Behavioral Habit tracking ("Wellness Actions") and mood logging.
Intelligent CBT Journaling with automated post-save deep analysis (cognitive distortion identification) and real-time reflection prompts.
An Interactive AI Well-Being Coach designed for situational mindfulness, behavioral friction reporting, and conversational reflection.
Immersive Media Integration (Spotify playback triggers, YouTube video deep-linking, and AI-generated TTS narrations by the voice persona "Kore").
Personalization through an AI Theme Generator that converts user-uploaded images into styled Neumorphic design palettes.
Unbundled AI Features Notice: Access to core habit tracking, streak counters, manual journaling, and reminder tools does not require participation in AI-assisted features. Processing data for AI features is optional, unbundled, and governed by your explicit consent settings in accordance with applicable data privacy laws. You may use core features of MindActions without enabling AI analysis.
2. STRICT ELIGIBILITY AND AGE REQUIREMENT (18+)
MINIMUM AGE LIMITATION: YOU MUST BE AT LEAST EIGHTEEN (18) YEARS OF AGE TO ACCESS, REGISTER FOR, OR USE THE SERVICE.
Unlike standard general-audience apps, MindActions is strictly designed and restricted for adults due to the advanced cognitive-behavioral therapy (CBT) reflection mechanics, AI mental wellness companion services, and deep psychological analysis tools.
By creating an account, initiating a subscription, or using the Service, you represent and warrant that:
You are at least 18 years of age.
You have the full legal capacity and authority to enter into this legally binding agreement.
You have not been previously suspended or removed from our Service.
If we become aware or suspect that a registered user is under the age of 18, we reserve the absolute right to immediately terminate their account and permanently delete all associated data from our servers without prior notice or refund of subscription fees.
3. MEDICAL AND CLINICAL DISCLAIMERS
3.1. Non-Clinical, Educational, and Self-Reflection Tool Only
MINDACTIONS DOES NOT PROVIDE MEDICAL, PSYCHIATRIC, THERAPEUTIC, CLINICAL, OR PROFESSIONAL HEALTHCARE ADVICE.
The Service, including the AI Well-Being Coach, CBT journal analysis, and mood-habit synergy reports, is an automated self-reflection system designed strictly for educational, informational, and personal-growth purposes.
CBT-Informed Possibilities: The AI-assisted analysis and cognitive distortion logs (e.g., Catastrophizing, All-or-Nothing thinking, Mind Reading) represent automated, CBT-informed possibilities for reflection—not clinical conclusions, psychological diagnoses, or psychiatric treatment plans.
No Therapist-Patient Relationship: Your use of the Service, including your interactions with the AI Well-Being Coach, does not establish a therapist-patient relationship, doctor-patient relationship, or any other clinical healthcare relationship between you and MindActions.
Professional Consultation: The Service is not a substitute for a physical or mental health examination, diagnosis, or treatment by a licensed professional (such as a psychiatrist, clinical psychologist, counselor, or primary care physician). Always seek the advice of a qualified healthcare provider regarding any mental health condition or medical symptoms. Never disregard professional advice or delay seeking treatment because of something you read or experienced within the Service.
3.2. Pro-Tier Conversational Coach Disclaimer
Before initializing an interactive chat session with our AI Well-Being Coach, you must formally accept our in-app AI Coach Disclaimer (accepted_coach_disclaimer = TRUE). By accessing the AI Coach, you agree that you are conversing with an automated Large Language Model (specifically Google Gemini 3.5 Flash) trained to assist with general mindfulness and behavioral reflection, and you explicitly acknowledge its clinical limits.
3.3. Mandatory Crisis Detection System
The AI Coach Chat contains an automated Crisis Detection System.
If the system detects that a user's message indicates active self-harm, suicidal ideation, intent, or any severe life-threatening crisis, the AI is programmed to immediately flag the interaction (is_crisis = TRUE).
In the event of a flagged crisis, the AI will immediately restrict further standard conversation and provide a supportive response containing emergency crisis referral resources (including urging the user to contact the National Suicide and Crisis Lifeline by dialing 988, or contacting local emergency services).
MindActions cannot and does not provide active crisis intervention, monitoring, or emergency dispatch services. In any medical or mental health emergency, you must contact professional emergency services directly.
3.4. HIPAA Non-Applicability Disclosure
MindActions is a direct-to-consumer software service designed strictly for personal self-improvement and self-reflection. MindActions is NOT a "Covered Entity" or "Business Associate" under the Health Insurance Portability and Accountability Act (HIPAA), and the information you enter into MindActions is not protected or governed by HIPAA regulations.
4. SUBSCRIPTION TIERS AND MONETIZATION
MindActions offers three distinct user tiers, consisting of free and premium models managed through third-party billing providers.
4.1. The Free Tier (Base Cohort)
Pricing: Free ($0.00/month).
Features: Manual habit workflows, basic mood tracking, up to 3 AI searches per month, up to 5 AI Behavioral Reports per month (ad-supported), and up to 2 custom color palettes(ad-supported).
Ads Loop: The Android client integrates Google AdMob, and WebApp client integrates Propeller Ads Ltd. To access premium visual options or unlock limited reports under the Free Tier, you must complete rewarded ad-viewing loops. You agree to interact with advertisements honestly and without automated scripting.
4.2. Paid Tier (Light Premium)
Pricing: $2.99/month (or $29.95/year,).
Features: Ad-free, Google Calendar sync, Spotify integration, up to 15 voice journaling transcriptions/month, up to 15 narrated habits/month(audio enabled Actions), up to 10 AI searches/month, weekly AI Deep Analysis, and up to 15 CBT journal analyses/month. More AI searches and AI Deep Analysis can be accessed via watching ad rewarded videos.
Ads Loop: The Android client integrates Google AdMob, and WebApp client integrates Propeller Ads Ltd. To access premium visual options or unlock limited reports under the Paid Tier, you must complete rewarded ad-viewing loops. You agree to interact with advertisements honestly and without automated scripting.
4.3. Pro Tier (Hyper-Active Premium)
Pricing: $8.99/month (or $79.99/year).
Features: Unlimited CBT journal analysis, Unlimited Deep AI Analysis, unlimited AI searches, access to the interactive AI Coach Chat, real-time AI journal guiding prompts, up to 10 custom visual themes, and doubled limits for voice transcriptions and habit narrations.
4.4. Billing, Renewals, and Upgrades
Payment Processor: Premium subscription transactions, checkout URLs, and subscription statuses are processed exclusively via Paddle Billing (Paddle.com) acting as Merchant of Record. We do not store credit card numbers on our servers.
Automatic Renewal: Standard subscriptions are billed on a recurring periodic cycle (monthly or annually) and will automatically renew using your saved payment method unless cancelled.
Cancellation: You can cancel your subscription at any time via your user portal or subscription management endpoints (/profile/subscription/manage). Cancellations prevent future billing but do not retroactively refund current active cycles.
Refunds: No refunds available..
5. USER ACCOUNTS AND SECURITY
5.1. Registration and Password Safety
To access specific features, you must register an account by providing an email, name, and secure password. You represent that all information you provide is accurate and current.
Authentication: The backend hashes passwords via the robust bcrypt algorithm, managing sessions with secure, stateless JSON Web Tokens (JWT) expiring in 30 days.
Security Duty: You are solely responsible for maintaining the confidentiality of your account credentials and JWT tokens. You agree to notify us immediately of any unauthorized access or breach of your account.
Google SSO: Users logging in via Google Single Sign-On (OAuth 2.0) are bound by Google's credential policies, and their identity is verified on the backend via authenticated Google secure tokens.
5.2. Permanent Account Purge (Right to be Forgotten)
The Service supports full account autonomy. At any time, you may initiate a permanent Account Purge via /profile/account. Doing so triggers a database ON DELETE CASCADE which completely and irreversibly deletes all your personally identifiable information (PII), password hashes, journal logs, completion logs, chat messages, location coordinates, and external OAuth integration tokens from our persistent PostgreSQL databases.
6. PROHIBITED ACTIVITIES AND SYSTEM INTEGRITY
You agree that you will not use the Service for any unlawful, harmful, or abusive purpose. Specifically, you agree not to:
Infringe Intellectual Property: Copy, redistribute, modify, or reverse-engineer any proprietary aspect of the Platform, including backend routes, neumorphic CSS or Compose modifiers, and the custom vector semantic search logic.
API Misuse & AI Exploitation: Programmatically extract data, scrape public user reviews, or bypass protective rate limits (using tools like SlowAPI) configured on endpoints. You shall not script queries to the /audio/{action_id} endpoint to generate excessive text-to-speech WAV files or overwhelm the Gemini GenAI services.
Generate Malicious Inputs: Bypass safety mitigations or inject prompts meant to subvert the AI Coach, transcribers, or CBT analysis engines.
SSO Account Spoofing: Register under a dummy email, compromise our Google OAuth callback endpoints, or attempt to access another user's private sessions via Indirect Object Reference (IDOR) attacks.
Model Competition: Use outputs or response structures from our Gemini AI configurations to train competitive machine learning models.
Violation of these guidelines constitutes a material breach of these Terms and will result in the immediate termination of your account, suspension of subscriptions without refund, and potential escalation to legal authorities.
7. INTELLECTUAL PROPERTY AND LICENSING
7.1. Proprietary Assets
As between you and MindActions, all right, title, and interest in the Service—including software code, visual layout configurations, Neumorphic component styling, "Closing Day" notification engines, database structures, the name "MindActions," and AI-synthesized audio narrations (including those generated via Gemini Flash TTS utilizing the voice persona "Kore")—remain the exclusive intellectual property of MindActions and its licensors. All rights not explicitly granted herein are reserved.
7.2. Content Ownership
Your Content (Input): You retain ownership over the raw text of your written journals, recorded voice notes, and chat prompts ("Input"). You represent that you have all necessary licenses and permissions to submit this Input.
Limited License to MindActions: To provide the Service, you grant MindActions a worldwide, non-exclusive, royalty-free license to host, parse, transcode, and process your Input. Sensitive conversational inputs, written journal logs, emotional mood logs, obstacle friction responses, user bios, post-save CBT Journal Analyses, and Weekly AI Behavioral Reports are stored using Fernet symmetric multi-key encryption at the database level and run through our server-side PII Scrubber (scrub_pii) to sanitize personally identifiable information before communicating with external AI models.
AI Outputs: Subject to your compliance with these Terms, MindActions assigns to you all of its right, title, and interest in outputs generated for you by the AI (such as your weekly wellness insights and CBT distortions data). Due to the probabilistic nature of AI, you acknowledge that outputs are not unique, and other users may receive identical or similar insights based on their respective behavioral inputs.
8. THIRD-PARTY SERVICES AND INTEGRATIONS
The Service integrates optional connections to third-party providers. By activating these integrations, you agree to comply with their respective terms of service:
Google Calendar API: Users in the Paid and Pro tiers can choose to link their Google Calendar via OAuth. The Service syncs actions to your calendar and fetches active schedules for behavioral analysis context. MindActions is not responsible for event deletion or calendar availability on Google's platform.
Spotify API: Linking Spotify permits the triggering of custom playlists or "Lo-fi Decompression" tracks during reminders. Spotify tokens expire every hour, and re-authentication may be required.
YouTube (Google Video): Video actions utilize embedded iframe elements. To ensure smooth mobile execution, our native Android client formats request headers in compliance with standard domain authorization guidelines, and playback remains entirely subject to YouTube's platform terms. Actionable habit summaries extracted from transcripts constitute transformative summaries under Fair Use doctrines (17 U.S.C. § 107), and raw video transcripts are never persistently stored.
Third-Party Web Links: The Service may link to external, non-MindActions entities. We do not inspect, endorse, or assume any liability for third-party websites or their privacy protocols.
9. DISCLAIMER OF WARRANTIES
OUR SERVICES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDACTIONS AND ITS AFFILIATES, OFFICERS, LICENSORS, AND PAYMENT PROVIDERS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE) WITH RESPECT TO THE SERVICE.
WE EXPLICITLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, COMPLETELY SECURE, SECURE AGAINST HACKING, CORRUPTION-FREE, OR ACCURATE.
ANY IMPLIED WARRANTY ARISING OUT OF A COURSE OF DEALING, USAGE, OR TRADE PRACTICES.
YOU EXPLICITLY AGREE THAT ANY USE OF THE SERVICE, INCLUDING THE INTERPRETATION OF CBT ANALYTICS, CONVERSATIONS WITH THE AI COACH, AND BEHAVIORAL INFERENCES, IS CONDUCTED ENTIRELY AT YOUR OWN RISK. WE MAKE NO REPRESENTATION OR WARRANTY THAT THE BEHAVIORAL ROADMAP WILL SOLVE, ALLEVIATE, OR REMEDY ANY CLINICAL MENTAL HEALTH ISSUES.
10. LIMITATION OF LIABILITY
NEITHER MINDACTIONS NOR ANY OF ITS AFFILIATES, PROVIDERS, LICENSORS, OR DIRECTORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
LOSS OF USER JOURNAL DATA, CHAT HISTORIES, CORRUPTED GCAL SYNCS, OR DISRUPTED PLAYBACKS.
DAMAGE TO BRAND REPUTATION, GOODWILL, HEALTH EMERGENCIES, OR PERSONAL COPING DISTRESS.
COST OF PROCURING SUBSTITUTE CLINICAL SERVICES OR ALTERNATIVE REHABILITATION.
OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU ACTUALLY PAID TO MINDACTIONS FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES OR THE LIMITATION OF SPECIFIC INDIRECT DAMAGES. IN THOSE JURISDICTIONS, OUR RESPONSIBILITY IS RESTRICTED STRICTLY TO THE MAXIMUM EXTENT PERMITTED BY THE RELEVANT LOCAL STATUTES.
11. GOVERNING LAW AND JURISDICTION
These Terms, and all claims, disputes, or actions arising out of or relating to them, will be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of laws principles.
Except as provided under the Dispute Resolution and Arbitration provisions below, any legal action, lawsuit, or court proceeding arising out of these Terms must be brought exclusively in the state or federal courts located in San Francisco, California, and both parties hereby submit to the personal and exclusive jurisdiction of those courts.
12. MANDATORY ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS YOUR ABILITY TO SEEK RELIEF IN A COURT OF LAW.
12.1. Agreement to Arbitrate
You and MindActions agree to resolve any claim, controversy, or dispute arising out of, relating to, or in connection with these Terms, your subscription, your account, or your use of the Service (each, a "Dispute") exclusively through final and binding individual arbitration, rather than in a court of law.
12.2. Informal Resolution
Prior to initiating any formal legal or arbitration proceeding, both parties agree to attempt to resolve the Dispute informally. You must send a written notice detailing your claim to our support email. If the parties are unable to reach a mutually satisfactory resolution within sixty (60) days from the receipt of the informal notice, either party may commence formal arbitration.
12.3. Class Action and Jury Trial Waiver
YOU AND MINDACTIONS EXPLICITLY AGREE THAT ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.
Neither you nor MindActions may act as a plaintiff or class member in any purported class, consolidated, representative, or mass proceeding. Class arbitrations, class actions, and representative actions are strictly prohibited in any forum. Both parties knowingly and irrevocably waive any right to a trial by jury in any civil action.
12.4. Opt-Out Procedure
You may opt out of this agreement to arbitrate by sending a formal, written opt-out notice to MindActions within thirty (30) days of your initial account creation. The opt-out notice must include your full name, registered email address, and a clear statement indicating your decision to opt out of arbitration. If you opt out, Disputes will be resolved in accordance with Section 11 (Governing Law and Jurisdiction).
13. CHANGES TO THE TERMS
We are continuously developing and refining our Platform features, integrations, and monetization frameworks. Consequently, we reserve the right to modify or replace these Terms at any time in our sole discretion.
Material Changes: If we make a change that materially impacts your subscription rights or legal obligations, we will provide you with at least thirty (30) days advance notice via your registered email address or an in-product notification.
Other Changes: For non-material, operational, or security updates, changes will become effective immediately upon posting to our Platform.
Acceptance: Your continued use of the Service after any updated Terms take effect constitutes your complete acknowledgment and binding acceptance of the updated Terms. If you do not agree to the updated Terms, you must terminate your account and stop using the Service.
